Terms of service.
The agreement covering your use of Adept, beta caveats, and the Amazon SP-API integration.

Acceptance and account eligibility
By creating an Adept account, you agree to these Terms. You must be at least 18 and authorized to bind any organization on whose behalf you use the Service.
Beta service caveat
Adept is currently in a controlled beta. The Service may change, break, or be unavailable without notice. We do not provide an SLA during beta. Pricing, tiers, and feature availability may change as the product matures.
Permitted use
Adept is licensed for use in your own Amazon online-arbitrage and retail-arbitrage sourcing workflows. You agree not to scrape, resell, or redistribute Service output, Keepa-derived data, or any Adept-generated scoring outside your own buying operation.
SP-API and Amazon Terms of Service
You represent that your Amazon seller account is in good standing and that authorizing Adept to read SP-API data does not violate Amazon's Terms of Service. Adept is a registered Amazon Selling Partner API Solution Provider — the role Amazon previously titled “Developer” before its November 25, 2025 terminology change — and we operate under Amazon's Solution Provider Agreement, Acceptable Use Policy (AUP), and Data Protection Policy (DPP). Adept is not a reseller of Amazon data; we are an integration that reads on your behalf with your authorization.
You are solely responsible for compliance with Amazon's policies, including listing, pricing, and gating policies. Adept does not list, edit, or transact on your seller account.
Subscriptions, billing, and tier changes
Adept is a paid subscription service. When you subscribe, you select a plan tier (Solo, Team, or Scale) and a billing cycle, and you authorize Adept and our payment processor, Stripe, to charge your payment method on a recurring basis. Subscriptions are billed in advance for each billing cycle.
Auto-renewal. Your subscription renews automatically at the end of each billing cycle (monthly or, where offered, annually) at the then-current rate for your plan, until you cancel. By subscribing, you consent to these recurring charges.
Tier changes.Upgrading to a higher tier takes effect immediately, and we charge a prorated amount for the remainder of the current cycle. Downgrades take effect at the start of your next billing cycle, so you keep your current tier's limits through the period you have already paid for.
Price changes and taxes. We may change subscription pricing; any change applies from your next renewal, and we will give you notice beforehand. Prices are exclusive of taxes, and you are responsible for any sales, use, VAT, or similar taxes. If a charge fails, we may retry it and may suspend access until payment succeeds.
Cancellation and refund policy
You can cancel at any time from your account settings or by emailing [email protected]. When you cancel, your subscription stays active through the end of the billing period you have already paid for, and it will not renew after that.
Except where required by law, fees already paid are non-refundable, and we do not provide prorated refunds for partial periods, unused time, or downgrades. If we discontinue the Service or a paid feature you have prepaid for, we will refund the unused portion of those prepaid fees.
Intellectual property
Adept retains all rights to the Service, including the application code, scoring algorithms, and design. You retain ownership of data you input or generate (storefront lists, decisions, notes). You grant Adept a limited license to process your data solely to operate the Service.
Disclaimers
The Service surfaces market signals to assist sourcing decisions; it does not guarantee that any product will be profitable, eligible, or in stock. Buy/hold/pass decisions are yours alone. The Service is provided “as is” without warranty of any kind to the maximum extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, Adept and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost sourcing opportunities, lost revenue, or lost or corrupted data, arising out of or relating to your use of the Service — even if we have been advised of the possibility of such damages.
Our total aggregate liability for all claims relating to the Service is limited to the greater of (a) the total subscription fees you paid to Adept in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so parts of the above may not apply to you.
Indemnification
You agree to indemnify and hold harmless Adept Acquisitions LLC and its owners and employees from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: your use of the Service; your Amazon seller account and your authorization of SP-API access; your violation of Amazon's policies or any applicable law; or your sourcing, buying, listing, and selling decisions, which remain yours alone.
Governing law and dispute resolution
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first. If you have a dispute with us, you agree to email [email protected] and try to resolve it informally for at least thirty (30) days before starting a formal proceeding.
Binding arbitration. If we cannot resolve a dispute informally, it will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, seated in Texas or conducted by video where the rules allow. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. Disputes will be resolved only on an individual basis. You and Adept each waive any right to bring or participate in a class, collective, or representative action. Either party may still bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect its intellectual property.
Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and notify active users by email or in the app before the changes take effect. Your continued use of the Service after a change becomes effective means you accept the updated Terms.
